Terms of Service
The agreement governing your use of the MegaTools platform.
1. Introduction and Scope of Agreement
Welcome to MegaTools. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and MegaTools ("we", "us", or "our") governing your access to and use of our web application, tools, and services (collectively, the "Platform"). By accessing, visiting, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to all of these Terms, you are prohibited from accessing or using the Platform, and you must immediately cease all usage. We reserve the right to modify these Terms at any time, and your continued use of the Platform signifies your acceptance of any updated conditions. 2. Proprietary Intellectual Property & Closed-Source Software License
The Platform, including all layout designs, graphic elements, user interfaces, scripts, underlying calculations, algorithms, compiled code, text, graphics, and logos, is the exclusive proprietary property of MegaTools and is protected under international copyright, trademark, patent, and intellectual property laws. Unlike open-source projects, MegaTools is closed-source and proprietary software. Subject to your strict compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and fully revocable license to access and run the Platform inside a standard web browser for your personal or commercial utility. You are expressly prohibited from: (a) copying, cloning, distributing, or republishing the software; (b) reverse engineering, decompiling, disassembling, or attempting to discover the source code of the Platform; (c) creating derivative works based on the software; and (d) removing or altering any copyright, trademark, or proprietary notices. 3. Acceptable Use and Operations Policy
You agree to use MegaTools only for lawful purposes and in accordance with these Terms. You are solely responsible for all content, text, data, and files you paste, process, or upload using the tools. You agree not to: (a) utilize any automated systems, scripts, web scrapers, spiders, or crawlers to harvest content, static resources, or layout definitions from the Platform; (b) engage in any denial-of-service (DoS/DDoS) attacks, search query flooding, or infrastructure overloading; (c) introduce malicious files, scripts, or payloads containing viruses, Trojans, ransomware, or logic bombs; (d) use the Platform to process, format, or generate defamatory, offensive, harassing, or illegal materials; and (e) attempt to bypass, disable, or circumvent any client-side verification or security mechanisms built into the browser interface. Violations of this policy may lead to immediate termination of access and legal action. Report violations to support@megatools.tech.
4. Absolute Disclaimer of Warranties
THE PLATFORM AND ALL OF ITS CONTAINED UTILITIES, CALCULATORS, CONVERTERS, FORMATTERS, AND GENERATORS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEGATOOLS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT: (A) THE OUTPUTS, CALCULATIONS, VALIDATIONS, OR FORMATTING COMPLETED BY THE PLATFORM WILL BE 100% CORRECT, ERROR-FREE, OR FREE OF MATHEMATICAL DISCREPANCIES; (B) THE PLATFORM WILL OPERATE UNINTERRUPTED, SECURELY, OR BE COMPATIBLE WITH ALL BROWSER BUILDS AND DEVICE DRIVERS; OR (C) SYSTEM BUGS WILL BE IMMEDIATELY RESOLVED. USERS ARE RESPONSIBLE FOR INDEPENDENTLY VERIFYING ALL FORMATTED TEXTS AND MATHEMATICAL OUTPUTS BEFORE USING THEM IN PRODUCTION ENVIRONMENTS.
5. Comprehensive Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEGATOOLS, ITS OWNERS, CREATORS, AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, INFLOW OF COMPUTER VIRUSES, CORRUPTION OF FILES, DATA LEAKS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE PLATFORM. THIS APPLIES WHETHER THE CLAIMS ARE BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), WARRANTY, STRICT LIABILITY, OR OTHERWISE, EVEN IF MEGATOOLS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF YOU ARE DISSATISFIED WITH THE PLATFORM OR ANY PART OF THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING MEGATOOLS.
6. Indemnification
You agree to defend, indemnify, and hold harmless MegaTools, its licensors, affiliates, and respective founders, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Platform; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that data processed by you caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Platform.
7. Governing Law, Jurisdictional Venue, and Severability
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with standard international commercial rules, without giving effect to any choice or conflict of law provision. Any legal suit, action, or proceeding arising out of, or related to, these Terms shall be instituted exclusively in the competent courts of our chosen corporate registration location, and you consent to the personal jurisdiction of such courts. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
